Agreement to Terms

By accessing or using the services provided by INTELLI ERP SOFTWARE, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, you may not access or use our services.

Services Description

INTELLI ERP SOFTWARE provides enterprise resource planning software solutions, implementation services, consulting, training, and ongoing support. Our services include but are not limited to:

• ERP software licensing and deployment
• System configuration and customization
• Data migration services
• User training and documentation
• Technical support and maintenance
• Consulting and advisory services

User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use the services only for lawful purposes
• Not attempt to gain unauthorized access to our systems
• Not interfere with the proper functioning of our services
• Comply with all applicable laws and regulations

Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and documentation, are owned by INTELLI ERP SOFTWARE, LLC or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use our software in accordance with the terms of your service agreement. This license does not include the right to modify, distribute, or create derivative works.

Payment Terms

Payment terms are specified in your individual service agreement. Generally:

• Implementation fees are invoiced according to project milestones
• Software licensing fees are billed annually or monthly as agreed
• Support and maintenance fees are billed in advance
• Payment is due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest charges

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the business relationship. This obligation survives the termination of services.

Limitation of Liability

To the maximum extent permitted by law, INTELLI ERP SOFTWARE, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data
• Business interruption
• Cost of substitute services

Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

Warranty Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Termination

Either party may terminate services in accordance with the terms of the service agreement. Upon termination, you must cease using our software and services, and we will provide reasonable assistance for data export.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Seminole County, Florida.

Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will provide notice of material changes by posting the updated terms on our website. Your continued use of our services after such changes constitutes acceptance of the new terms.
